You keep ownership of your content. You give Captionate only the permissions needed to provide the features you request. Use the service lawfully, protect your account, and review AI-assisted output before relying on or publishing it.
1. Agreement and operator
These Terms of Service (the “Terms”) are an agreement between you and CHANHUI HAN, an individual operator doing business as Captionate (“Captionate,” “we,” “us,” or “our”). By creating an account, purchasing a subscription, or otherwise accessing or using Captionate, you agree to these Terms.
Our Privacy Policy explains how we handle personal data. Our Refund Policy explains cancellation and refund rules. Both are incorporated into these Terms where applicable.
If you do not agree, do not use the service.
2. Eligibility
You must be at least 14 years old to create an account or use Captionate. If you are below the age of legal majority where you live, you must have permission from a parent or legal guardian who agrees to these Terms on your behalf.
You may purchase a paid subscription only if you have reached the age of legal majority where you live and have legal capacity to enter into the purchase. The age of legal majority is commonly 18, but it varies by jurisdiction.
You may not use Captionate if applicable law prohibits you from receiving the service.
3. Accounts and security
- Provide accurate information and keep it current.
- Keep your password and authentication links confidential.
- You are responsible for activity performed through your account unless caused by our breach.
- Tell us promptly at support@captionate.app if you suspect unauthorized access.
You may not sell, transfer, rent, or share an account in a way that defeats plan limits or creates a security risk.
4. The Captionate service
Captionate provides browser-based tools to generate, import, edit, translate, style, and export captions and captioned media. Some features use automated or AI-assisted processing.
AI-assisted results can be incomplete, inaccurate, offensive, or unsuitable for a particular context. You are responsible for reviewing captions, translations, timing, instructions, and exports before publishing, distributing, or relying on them. Captionate does not provide legal, medical, financial, accessibility-certification, or other professional advice.
We may add, change, suspend, or discontinue features to improve or secure the service, comply with law, or respond to third-party service changes. Where reasonably possible, we will provide notice before a material change that adversely affects a paid subscription.
5. Your content and permissions
Your ownership
You retain your rights in media, audio, captions, text, prompts, instructions, project names, and other content you submit to Captionate (“User Content”). These Terms do not transfer ownership of your User Content to us.
Permission to operate the service
You grant us a limited, non-exclusive, worldwide license to host, copy, transmit, transform, and otherwise process User Content only as necessary to provide, secure, troubleshoot, and maintain the service and the features you request. This license ends when the content is deleted from our systems, subject to limited backup, legal, and security retention described in the Privacy Policy.
Your responsibility
You represent that you have the rights and permissions needed to submit and process User Content, including any required consent from speakers or other identifiable people. You must not upload content that infringes intellectual property, privacy, publicity, confidentiality, or other rights.
We do not use your User Content to train general-purpose AI models unless we first obtain your separate, explicit permission.
6. Acceptable use
You must not use Captionate to:
- break any law or facilitate fraud, exploitation, harassment, or abuse;
- process content you do not have authority to use;
- create or distribute unlawful, deceptive, or privacy-invasive material;
- upload malware, attempt unauthorized access, probe security controls, or interfere with the service;
- evade usage, billing, rate, or account limits, including through automated account creation;
- reverse engineer or extract non-public parts of the service except where applicable law expressly permits it; or
- use the service in a way that creates unreasonable load or harms other users.
We may investigate suspected abuse and limit or suspend access where reasonably necessary to protect users, Captionate, service providers, or the public.
7. Credits and usage
Credits are internal service units used for eligible Captionate processing. They are not money, stored value, cryptocurrency, or property; cannot be transferred or redeemed for cash; and have no value outside Captionate.
- Eligible new accounts receive 30 one-time free credits. These free credits do not expire under the current plan terms.
- Starter, Pro, and Studio subscriptions receive the credit allowance shown on the Pricing page for each billing cycle.
- Unused monthly subscription credits do not roll over and reset to the applicable plan allowance at the beginning of each new billing cycle.
- Usage depends on the feature, media duration, language, input and output length, instructions, and processing required. Estimates are informational and actual usage may vary.
We may adjust future credit prices or allowances. A change to a paid plan takes effect no earlier than the next renewal after reasonable notice, unless the change benefits you or is required urgently by law, security, or a third-party provider.
8. Paid subscriptions and billing
Paid subscriptions renew automatically for the billing period shown at checkout until canceled. Prices, currency, taxes, billing frequency, and the plan purchased are presented before you confirm payment.
Our order process is conducted by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all paid Captionate orders and handles payment-related customer service and returns. Paddle processes payments, invoices, and applicable taxes under its own Buyer Terms. Your use of Captionate remains governed by these Terms.
You may cancel a subscription at any time through the subscription management link made available by Paddle or by contacting support. Unless applicable law or the Refund Policy requires otherwise, cancellation takes effect at the end of the current paid billing period. You keep plan access and the current cycle’s remaining credits until then; unused credits expire at the cycle end and are not paid out.
If payment fails, is reversed, or remains overdue, we may limit paid features or move the account to the applicable free state after reasonable payment retries or notice.
9. Captionate intellectual property
Captionate and its software, interface, design, documentation, branding, and other service materials are owned by us or our licensors and are protected by applicable law. Subject to these Terms, we give you a limited, revocable, non-exclusive, non-transferable right to access and use the service for its intended purpose.
If you provide feedback, you permit us to use it without restriction or payment, but you do not have to provide feedback.
10. Suspension, termination, and account deletion
You may stop using Captionate at any time. To request account deletion, email support@captionate.app from your account email address. Cancel any active subscription before deletion to prevent renewal.
We may suspend or terminate access if you materially or repeatedly violate these Terms, create a security or legal risk, fail to pay amounts due, or if we are required to do so by law. Where appropriate, we will give notice and an opportunity to correct the issue.
Sections that by their nature should continue—including ownership, payment obligations already incurred, disclaimers, liability limits, and dispute terms—survive termination.
11. Disclaimers
To the fullest extent allowed by law, Captionate is provided “as is” and “as available.” We do not promise that the service will be uninterrupted, error-free, completely secure, or that automated output will be accurate or meet every purpose. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing.
Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot lawfully be excluded.
12. Limitation of liability
To the fullest extent allowed by law, neither Captionate nor its service providers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data arising from use of the service.
Our total aggregate liability arising from the service or these Terms will not exceed the amount you paid for Captionate during the 12 months before the event giving rise to the claim.
These limitations do not apply to liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, gross negligence where non-excludable, death or personal injury caused by negligence, or mandatory consumer rights.
13. Disputes and mandatory rights
Before filing a formal claim, please contact support@captionate.app so we can try to resolve the issue informally.
Nothing in this section deprives you of protections or rights that the mandatory consumer-protection law of your country or region gives you. If you are a consumer, you may also have the right to bring a claim in a court or dispute-resolution forum available under those mandatory laws.
14. Changes to these Terms
We may update these Terms to reflect service, legal, security, or business changes. We will post the updated version and change the “last updated” date. For material changes affecting an active paid subscription, we will provide reasonable advance notice through the service or by email when practicable. Continued use after the effective date means you accept the updated Terms, except where law requires a different form of consent.
